DESCRIPTION
The successful candidate will bring a wealth of sell-side M&A or buy-side private investment experience to the deal origination team. The role will include light business development activities through both intermediary and proprietary channels to source new deals, as well as heavy involvement in the execution of deals in the pipeline. Mentorship of deal team members is an essential part of the role, with a focus on pushing investment opportunities through each phase of the transaction from investment screening through to due diligence and closing. Success and compensation will be dictated by yours and the deal teams ability to deploy capital into successful portfolio company investments in a relatively short period of time.
PRIVATE EQUITY
Launched in 2017, our private equity division is now near the tail-end of its first fund, KV Private Equity Fund I LP, after completing a divestiture of most of the investments in Fund I in 2022. In early 2023, the division launched KV Private Equity Fund II LP and acquired its first portfolio company in Fund II in February 2023. Over the next 2 to 3 years, the private equity division will focus on deploying Fund II capital into investments in high-growth middle-market operating businesses in Canada and the US. We pride ourselves in being hands-on managers of our portfolio companies alongside strong management teams to provide sufficient returns for our investors.
RESPONSIBILITIES
In collaboration with the Private Equity deal team, you will be responsible for:
-Coaching and supporting the deal team members;
-Developing investment theme and strategies, overseeing and performing research and analysis on prospective themes;
-Participate in the business development activities to increase inbound deal flow;
-Maintain a high degree of discipline when maintaining the data within the deal sourcing and execution CRM software tool;
-Stay informed on capital market trends in the Canadian and US marketplace;
-Prepare and review various deal execution deliverables including financial models, new deal memos, deal screening checklists, commercial and confirmatory due diligence plans and working papers, legal documentation such as EOIs, LOIs, purchase agreements, etc.;
-Coordinate and negotiate with all parties involved in the deal execution process including sell-side intermediaries, business owners, professional advisors, lenders, and lawyers;
-Participate in the presentation of potential investments to the KV Capital Investment Advisory Committee.
-Monitor performance of select portfolio investments; and
-Participate in the Board of Directors meeting of select portfolio investments.
CAPABILITIES AND CREDENTIALS
To be successful in this role you must have:
-A minimum of 8 years of progressive experience originating and executing lower middle-market operating business buyout transactions in Canada;
-A post-secondary degree plus one of a CA, CPA, CFA, CBV, or MBA;
-A strong attention to detail, research orientation and critical mindset that results in high quality investment decision making and minimal reactionary or instinctual outcomes;
-An outstanding reputation in the western Canadian M&A and private investments market place and a clear fit with KV’s core values and professional culture;
-Outstanding people skills and a high emotional quotient; and
-Strong organizational and time management skills to effectively manage multiple deals and competing demands with tight timelines.
